Pre-deal Technology Due Diligence

A senior technology view before you invest, and after. I help you judge the technology in the companies you back, use AI where it is safe, and say plainly where it is not.

Family offices, trusts, and private equity and investment firms in Madrid, and the portfolio companies they back. I also work with M&A advisers, deal lawyers and multi-family offices who need a technical check on a deal.

A short written report:

  • Red flags. What could hurt the deal or the first year after it.
  • AI and data risk. Whether the AI story holds up, and how data is handled.
  • A 100-day tech plan. What to fix first once you own it.

If the technology is sound, the report says so plainly.

How it works

  1. Start with one deal. A fixed-price due diligence on one target. You see how I work before anything ongoing.
  2. Then, if it is useful, a monthly advisory seat. After one or two deals: a few hours a month, plus on-call when a decision cannot wait. Fee: on request.
  3. Portfolio work is scoped separately. Each piece has its own scope and fee, agreed before it starts.
  4. No lock-in. You keep every report and memo, whether or not we continue.
03

Before you invest, and after

At the fund or family office

  • Tech and AI due diligence on deals. Architecture, team, technical debt, data and vendors.
  • AI and data risk in the portfolio. Where AI creates value, where it creates exposure, and what to ask management.
  • Digital operations of the office itself. Reporting, documents, investor and family communications, tools and access.
  • A sounding board for the board and IC. A second opinion on technology before you commit.

In the portfolio companies

  • Fractional CTO sprints. A few weeks of hands-on technology leadership on one problem.
  • Technology audits. What is built, what it costs, what breaks, and who knows how it works.
  • AI roadmap. What to automate, what stays with people, and in what order.
  • Vendor selection. A neutral shortlist, build or buy, and what to check in the contract.

How your data is protected

Inside your environmentI review code in your environment or on an isolated, temporary machine. It is deleted after the report.
Read-only by defaultI look before anything changes. Write access only when you decide, for a defined task.
Least accessOnly the systems the question needs. Access is removed when the work ends.
Everything loggedWhat I accessed, what changed, and who approved it.
05

Before the data room opens

For investors, M&A advisers and deal lawyers looking at a company whose value depends on its technology. One red flag is not a reason to walk away. It is a question to answer before signing, and often something to price in or cover in the contract.

Why me

  • CTO for a global investment firm. Now building Alarifa.
  • Ex-Yandex, Ex-EY. Corporate finance and M&A at EY, so I read a deal from the investor’s side.
  • Pricing and product at Yandex.Taxi: ML incentives took the #2 ride-hailing platform to operational breakeven.
  • I still build: 17 apps live on the App Store (iOS and Mac, as of October 2026), and production automation linking Gmail, Jira, Slack, AWS, CRM, Google Sheets and Claude.
  • Host of the podcast Innovate Spain: The IT Chronicles.
  • MSc theoretical physics, Lomonosov Moscow State University.

Twenty minutes is enough to know.

A 20-minute conversation about the deal or the technology decision on your desk. If there is nothing worth doing, I will say so.
